The FMDQ Private Markets Noting Service does not constitute an invitation to the public as defined in the Investments and Securities Act 2007, nor does it entail the admission of the securities to the FMDQ Securities Exchange Daily Quotations List.
FMDQ Private Markets, in fulfilment of its vision, offers the robust, seamless, and efficient Noting Service, which provides an opportunity for private companies to access short to long-term capital in the Nigerian debt and equity markets.
Desirous of supporting private companies and ensuring their inclusion in the Nigerian capital markets for the benefit of Qualified Institutional Investors, the debt securities of the private companies are issued to the Qualified Institutional Investors via private placements, through eligible Transaction Sponsors, upon the satisfaction of key criteria contained in the Private Companies' Securities Noting Guidelines. The availability of information on these securities is restricted to Qualified Institutional Investors. We offer Noting Service for various private debt products such as bonds, debt notes, green bonds, sukuk, working capital notes, amongst others.
The Depository service allows for the onboarding and safekeeping of securities of private companies. FMDQ Depository Limited, in line with the Integrated Noting Service, acts as the Collection and Paying Agent and thus provides the following services in the noting of private companies’ securities:
The FMDQ Private Markets, through the outsourced Depository services, carries out the admission of all types of private securities – debts, equities, as well as structured products – and executes corporate actions such as share transfer, coupon payments, dividend payments, buy-backs, bonus issues, and so on.
